  • In the Romanian law system, there are juridical institutions which, until the appearance of the New Romanian Civil Code, had never benefited from a special juridical regulation of their own or from a particular terminology of their own. Among these juridical institutions let us discuss the contract promises. The former Civil Code and the Commercial Code contained no regulations which could have clearly defined the juridical nature of these “juridical constructions” as well as the effects they could create. The existing legal framwork had not been focused on the pre-contract level, but rather on the future contract which was prepared through this level. Yet, it is often in this pre-contract period that partners “undertake obligations” and that obligations prior to the contract itself are created for them. Thus, the New Civil Code is meant to respond to practical necessities. Book V, Title II – Sources of obligations, Chapter I regulates the option pact (art. 1278 NCC) and the contract promise. Title IX – On various special contracts, in Chapter I, also regulates the option pact concerning the sale contract (art. 1668 NCC), the sale promise and the purchase promise (art. 1669 NCC).
  • Les promesses de contrat font partie des institutions juridiques qui, dans le système de droit roumain, n’ont bénéficié, jusqu’à l’apparition du Nouveau Code civil roumain d’une réglementation juridique spéciale, ni d’une terminologie spécifique. L’ancien Code civil et le Code du commerce n’ont pas compris des réglementations qui définissent clairement la nature juridique et les effets que ces «constructions juridiques» produisent. Les réglementations légales existantes ne se sont pas concentrées sur l’étape précontractuelle, mais surtout sur le contrat que cette étape prépare, bien que, souvent, dans cette phase précontractuelle, les partenaires «s’obligent» et naissent pour eux des obligations précontractuelles. Le Nouveau Code civil répond à des nécessités pratiques et dans le Livre V, Titre II – Les sources des obligations, dans le Chapitre I, il est réglementé le pacte d’option relatif aux contrats (art. 1.278 NCC) et la promesse de contracter (art. 1.279). Aussi, au Titre IX – Des différents contrats spéciaux, dans le Chapitre I – Le contrat de vente, il est réglementé le pacte d’option relatif au contrat de vente (art. 1668 NCC) et la promesse de vente et la promesse d’achat (art. 1669 NCC).
